Advisory Terms

These Advisory Terms govern the Guided advisory service provided by Priowise B.V. ("Priowise", "we") to the customer ("Client", "you"). They form part of the Terms of Service for Guided customers.

1. Scope of the Advisory Service

Guided is a monthly advisory service delivered on top of the Strategist platform. The service includes:

• Onboarding: Two working sessions of up to two hours each, delivered within 30 days of purchase.
• Guided cycle: Two bi-weekly working sessions of up to two hours per month.
• Discuss channel: An asynchronous question channel within the platform. The AI provides immediate answers; the advisor reviews and, where necessary, corrects or supplements each answer within two business days.
• Quarterly review: A structured review at the end of each quarter, including a Board Pack summarising strategy progress, roadmap alignment, and key decisions.

2. Term and Renewal

The initial advisory term is three months, ending with the first quarterly review. After the initial term, the service continues on a monthly basis until terminated by either party.

Founding pricing is locked for six months for the first five clients.

3. Billing

The platform subscription (Strategist) and advisory services are billed as separate lines. The platform subscription continues independently of the advisory service.

Overdue payment suspends advisory sessions and the Discuss review service until resolved. The platform subscription remains active subject to its own payment terms.

4. Additional Sessions

Additional sessions beyond the included two per month are available at €300 per session, with a maximum of one additional session per month. Additional sessions are subject to advisor availability and require prior confirmation.

5. Client Responsibilities

To get the most from the advisory service, the Client agrees to:

• Provide key-result data and relevant context before each session.
• Ensure decision-maker attendance at sessions.
• Make decisions within the scope of each session before the next session.
• Route questions through the Discuss channel rather than direct messages.

Unused sessions do not roll over to the following month.

6. Rescheduling

Sessions may be postponed once with at least 24 hours notice. The onboarding 30-day window runs regardless of rescheduling; after this window, onboarding deliverables are provided based on the information available at that time.

7. Nature of the Service and Decision Authority

The advisory service constitutes strategic guidance based on the information provided by the Client and the analysis performed by the Priowise platform. It does not constitute legal, financial, tax, or investment advice.

All product decisions, and all actions taken within the platform (including applying or rejecting AI recommendations, changing roadmap priorities, and modifying objectives), are taken by the Client at the Client's sole discretion. Priowise does not guarantee specific business outcomes.

8. Liability

The aggregate liability of Priowise arising out of or in connection with the advisory service is limited to the total advisory fees paid by the Client in the three months preceding the event giving rise to the claim, to the extent permitted by applicable law.

This limitation does not apply to liability arising from intent or gross negligence on the part of Priowise, or to any liability that cannot be limited or excluded under applicable law.

9. Termination

Either party may terminate the advisory service at the end of the initial three-month term, or at the end of any subsequent monthly period, by providing written notice at least 14 days before the end of the current period.

Termination of the advisory service does not affect the Client's platform subscription, which continues on its own terms.

10. Governing Law

These Advisory Terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the competent courts of Amsterdam.
